COMPANY MODIFICATION PROCEDURE
During the operation a company there may be a number of reasons that require the modification of its registered data. The modification may be due to a simple change of seat or a change of members, however there may also be cases that impose a much higher professional challenge, such as a corporate transformation.
In addition to the above, it is highly recommended that company documents be reviewed by an attorney from time to time, as they may contain information that is out of date or otherwise inaccurate. The Company Registry Court may, in the context of a legal supervision procedure, oblige companies to restore their legal lawful operation. If cases where companies fail to comply within the deadline set by the Company Registry Court, the company may be deleted from the registry, the managing director or, in certain cases, the member may be banned, which means that these persons may not participate in the operation of companies for a certain time period as managers/members.
How can I assist you during a company modification procedure?
- I make sure that the documentation used by the company comply with the applicable legal requirements (legal audit) and I indicate if any review or modification is required;
- I undertake to prepare, countersign and submit to the competent Company Registry Court the documents necessary for founding the company, which are in full compliance with the applicable legal requirements.
